Introduction
Agreement to Terms
By accessing or using any services provided by Admerce ("Agency," "we," "us," or "our"), you agree to be bound by these Terms of Service. These terms apply to all visitors, clients, and anyone who uses our services.
If you do not agree with any part of these terms, you may not use our services. Please read them carefully.
Section 01
Services Provided
Admerce provides brand scaling and marketing services including but not limited to:
- Paid advertising campaign creation and management (Facebook, Instagram, Google)
- Ad creative design and copywriting
- Advertising strategy and consulting
- Performance tracking and reporting
- Brand identity and design services
All services are provided on a performance-based commission model unless otherwise agreed in writing.
Section 02
Client Responsibilities
As a client of Admerce, you agree to:
- Provide accurate and complete business information
- Cover all advertising spend paid directly to ad platforms
- Provide view-only access to agreed platforms for performance tracking
- Pay all commissions owed within the timeframes specified in your agreement
- Notify Admerce of any changes that may affect campaign performance
- Comply with all applicable laws and the advertising policies of relevant platforms
Section 03
Payment Terms
Compensation to Admerce is based on a percentage of revenue directly attributed to paid advertising campaigns managed by Admerce, as defined in the individual client agreement.
Invoices are issued monthly and are due within 7 days of receipt. Late payments may result in suspension of services. Admerce reserves the right to pause all campaigns for accounts with outstanding balances exceeding 14 days.
Section 04
Intellectual Property
All ad creatives, designs, copy, and materials produced by Admerce remain the intellectual property of Admerce until all outstanding payments are made in full. Upon full payment, ownership transfers to the client as outlined in the individual service agreement.
Clients may not reproduce, distribute, or use Admerce's proprietary methodologies, strategies, or processes without express written consent.
Section 05
Confidentiality
Both Admerce and its clients agree to maintain strict confidentiality regarding all proprietary business information, strategies, data, and materials shared during the course of the engagement. This obligation survives termination of the service agreement by 12 months.
Section 06
Limitation of Liability
Admerce shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability to any client shall not exceed the total commissions paid to Admerce in the 30 days preceding the claim.
Section 07
Termination
Either party may terminate services with 14 days written notice via email. Upon termination, the client remains responsible for all commissions owed on revenue generated prior to the termination date. Admerce will return all account access and campaign materials within 5 business days.
Section 08
Governing Law
These Terms of Service shall be governed by the laws of the State of Nevada, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in Reno, NV.
